Good afternoon. It's Tuesday, November 3, 2026. A single mega-merger drove third-quarter apartment sales up 139 percent to a record even as values kept slipping, a split that captures a market where capital is moving but basis is still resetting. Also in today's edition: Blackstone's $3.3B refi, Opportunity Zones' second phase, where rent discounts run deepest, and a 675 Third Avenue office to residential conversion.
CAPITAL MARKETS WATCH
Today's focus: Capital Stack Tuesday. What does the full financing picture look like for operators and investors right now?
The whole stack is still priced for higher for longer. The 10-year Treasury is holding near 5% with the federal funds rate at 3.75% to 4.00% after the Fed's October 27 to 28 hold, which keeps Fannie Mae multifamily agency debt in a roughly 6.15% to 7.00% range depending on size and leverage. Above that senior loan, CMBS tells the cautionary half of the story, with multifamily delinquencies running north of 8% and a wall of maturities keeping lenders selective and spreads wide, while equity is demanding real current yield rather than a projected exit, so preferred and mezzanine capital keeps pricing richer to fill the gap senior leverage no longer covers. The committee's next meeting on December 8 to 9 is live, but today is Election Day, and state housing and property tax measures could reset 2027 underwriting faster than any rate move. The read for capital: build the stack to today's agency execution and a coverage cushion that survives a higher for longer market, and treat cheaper debt or a December cut as upside you never underwrote.

TODAY'S TOP STORIES
1. A Mega Merger Drove Third-Quarter Apartment Sales to a Record, Up 139 Percent. Why Volume Can Jump While Values Keep Falling.
A single large merger pushed third-quarter multifamily transaction volume up 139 percent to the highest level on record, even as apartment values fell 4.6 percent year over year and 6.2 percent on an annualized basis from the second quarter, per Multifamily Dive. The headline surge is one deal, not a broad repricing, and the value decline is the real signal. For investors, it is a reminder to read volume and pricing separately, because a market can look busy on a megadeal while basis continues to reset in your favor.

2. Blackstone Is Refinancing Its AIR Communities Note With a $3.3 Billion Loan. Why Institutional Capital Still Clears the Biggest Multifamily Deals.
Blackstone is refinancing part of the debt from its 2024 AIR Communities take-private with a new $3.3 billion loan, retiring a portion of the original acquisition note, per Multi-Housing News. A refinancing of this scale shows the largest owners can still access deep liquidity for stabilized, high-quality portfolios even in a tight financing market. For investors, it signals that lender appetite remains intact at the top of the quality and sponsorship spectrum, while smaller, weaker-sponsored deals still fight for terms.

3. Opportunity Zones Enter a Second Phase With Minimal Oversight. Why the Tax Break Is Back but the Guardrails Are Thin.
The federal Opportunity Zone program has entered its second phase, renewing capital gains tax breaks for investment in designated areas, including Miami's luxury Design District, but with limited oversight of who actually benefits, per Propmodo. The incentive can meaningfully lift after-tax returns, yet the loose guardrails mean capital may flow to already-hot areas rather than the communities the program targets. For investors, it is both an opportunity and a diligence flag, so weigh the tax benefit against a deal that must stand on its own fundamentals first.

4. Florida, Charlotte, and Austin Lead the Deepest Apartment Rent Discounts. Why Concessions Map Where Basis Is Weakest.
GlobeSt reports that deep rent concessions are persisting in high-supply markets, with Florida metros, Charlotte, and Austin leading on discounts in the third quarter even as national occupancy improves, per GlobeSt. Where owners are buying occupancy with free rent, effective rents and valuations are under the most pressure. For investors, the concession map is a basis map, pointing to the oversupplied metros where entry pricing should be most negotiable and where underwriting must lean on effective rent, not asking rent.

5. A $231 Million Loan Will Convert 675 Third Avenue Into 450 Apartments. Why Office to Residential Is Pulling Real Capital.
David Werner Real Estate and Nathan Berman's MetroLoft secured $231 million in construction financing from Northwind to convert a Midtown Manhattan office tower at 675 Third Avenue into 450 residential units, per Commercial Observer. A loan this size for an office to residential conversion shows lenders will underwrite adaptive reuse where the math and the location work. For investors, it marks conversions moving from concept to financed reality, adding a new source of multifamily supply and a template worth watching in supply-starved urban cores.

THE FWC PERSPECTIVE
How today's news connects to the Fourth Wall Capital multifamily investment thesis
Capital Stack Tuesday frames a market where money is clearly moving, from a record quarter of apartment sales to a $3.3 billion Blackstone refinancing, yet values keep slipping and concessions still run deepest in the oversupplied metros. The through line is that liquidity has returned for quality and scale while basis is still resetting for everyone else, exactly the split disciplined capital is built to exploit.
Fourth Wall Capital underwrites the asset and the full stack, not the rate path, pricing to today's agency execution and a coverage cushion that survives a higher for longer market. With CMBS distress widening the opening on basis and tax programs tempting capital toward thinner deals, we stay ready to acquire conservatively in supply-protected submarkets, where in-place cash flow carries the return and any rate relief is upside we never needed.
